• Engage in any illegal or unauthorized activities

3. Important Disclaimers

Not a Lender:

AI Loan Advisors LLC is not a lender. We are a loan broker and advisor. We do not make, offer, or originate loans. We connect qualified applicants with our network of SBA Preferred Lenders who evaluate and approve loan applications. Loan approval, terms, conditions, rates, and funding are solely determined by the lenders in our network, not by AI Loan Advisors.

No Guarantee of Approval:

Submission of your application through our platform does not guarantee loan approval, qualification, favorable terms, or any specific loan amount. Our AI-powered pre-qualification analysis is an estimate only and does not constitute a loan offer or approval. Final loan decisions rest entirely with the lenders.

No Financial or Legal Advice:

Information and analysis provided through our platform are for informational purposes only and do not constitute financial, legal, tax, or investment advice. You should consult with qualified financial advisors, accountants, and attorneys before making any business or financial decisions. We make no representations regarding the accuracy, completeness, or suitability of the information provided.

AI-Generated Analysis Disclaimer:

Our platform uses artificial intelligence to analyze your business information and financial data. While we strive for accuracy, AI-generated analysis may contain errors, omissions, or inaccuracies. 6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI LOAN ADVISORS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING OUR SERVICES IN THE PAST TWELVE MONTHS.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of these limitations may not apply to you.

7. Disclaimer of Warranties

OUR PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that our platform will be uninterrupted, error-free, secure, or free of harmful code. We do not warrant the accuracy, completeness, or reliability of any information or analysis provided. Your reliance on any information is at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless AI Loan Advisors LLC, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

• Your use of or inability to use our platform or services
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property rights
• Any information, documents, or data you submit through our platform
• Any claim that information you provided caused damage to a third party
• Any disputes between you and a lender in our network
• Any unauthorized use of your account

This indemnification obligation shall survive the termination of your account and these Terms.

9A. Document Upload and Data Liability

BY UPLOADING DOCUMENTS OR PROVIDING FINANCIAL INFORMATION THROUGH OUR PLATFORM, YOU ACKNOWLEDGE AND AGREE THAT:

• You are solely responsible for the accuracy, legality, and completeness of all information and documents you upload
• You have the legal right and authority to share any documents you upload
• While we implement AES-256 encryption and industry-standard security measures, no system is 100% secure, and you upload documents at your own risk
• AI Loan Advisors LLC shall not be liable for any data breach, unauthorized access, data loss, or data corruption, whether caused by cyberattack, system failure, human error, or any other cause
• You waive any and all claims against AI Loan Advisors LLC arising from or related to the security, storage, processing, or transmission of your uploaded documents and data
• Your documents may be processed by artificial intelligence systems and third-party infrastructure providers
• You are responsible for maintaining your own backup copies of all documents you upload
• We may retain uploaded documents for a reasonable period after account termination for legal and compliance purposes
• You consent to the processing of your documents for loan pre-qualification analysis purposes

9B. Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and AI Loan Advisors LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be resolved through binding individual arbitration, rather than in court, except that either party may seek injunctive relief in court for intellectual property matters.

Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA) or JAMS, at the election of AI Loan Advisors LLC. The arbitration shall take place in the jurisdiction where AI Loan Advisors LLC maintains its principal office, or remotely via video conference at the arbitrator's discretion.

The arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

9C. Class Action Waiver

YOU AND AI LOAN ADVISORS LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Unless both you and AI Loan Advisors LLC agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, the entire arbitration provision shall be void.

9D. Force Majeure

AI Loan Advisors LLC shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government actions or orders, war, terrorism, riots, civil unrest, labor disputes, power failures, internet or telecommunications failures, cyberattacks, data breaches by third-party providers, hardware or software failures, or any other event beyond our reasonable control.

9E. Assumption of Risk

You expressly acknowledge and agree that your use of AI Loan Advisors services is at your sole risk. You assume full responsibility for:

• All decisions made based on information or analysis provided by our platform
• Any financial commitments resulting from loan applications initiated through our platform
• Verifying the accuracy and suitability of any AI-generated analysis or recommendations
• Understanding the terms and obligations of any loan you obtain through our lender network
• Any consequences of sharing your personal or financial information through our platform
• Any tax implications of obtaining a business loan

9F. Statute of Limitations

You agree that any claim or cause of action arising out of or related to your use of our platform or these Terms must be filed within one (1) year after such claim or cause of action arose. Failure to file within this period shall result in the permanent barring of such claim. This limitation applies to the fullest extent permitted by applicable law.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the jurisdiction where AI Loan Advisors LLC is located, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the federal and state courts in that jurisdiction for the resolution of any disputes arising from these Terms or your use of our platform.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.

12. Modifications to Terms

We may update these Terms from time to time. Changes will be effective when posted to our platform. Your continued use of our services following the posting of changes constitutes your acceptance of the updated Terms. We recommend reviewing these Terms periodically for updates.
